Acceptance of Terms

By creating an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

Description of Service

GlycoSphere operates clinical chronic care programs delivered through licensed healthcare professionals, supported by a HIPAA-compliant technology platform that includes a provider web dashboard and a patient mobile application.

User Accounts & Registration

You must provide accurate, current, and complete information when creating an account and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

Acceptable Use Policy

You agree not to:

• Use the Platform for any unlawful, fraudulent, or harmful purpose.
• Attempt to gain unauthorized access to any portion of the Platform or related systems.
• Upload viruses, malware, or other harmful code.
• Reverse engineer, decompile, or attempt to derive source code from the Platform.
• Interfere with or disrupt the integrity or performance of the Platform.

The Platform is a tool to support clinical care; it is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider with any questions regarding a medical condition. Never disregard professional medical advice or delay seeking it because of information presented on the Platform. In an emergency, call 911 or your local emergency number.

Intellectual Property

The Platform, including all software, content, designs, logos, and trademarks, is owned by GlycoSphere or its licensors and is protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Platform solely as permitted by these Terms.

User Content

You retain ownership of information you submit to the Platform. By submitting content, you grant GlycoSphere a limited license to use, process, and display that content as necessary to provide our services and as described in our Privacy Policy.

Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or completely secure.

Limitation of Liability

To the maximum extent permitted by law, GlycoSphere and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform. Our aggregate liability for any claim shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify and hold harmless GlycoSphere from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Platform.

HIPAA & Business Associate Obligations

Where required by HIPAA, GlycoSphere will enter into a Business Associate Agreement with covered entities. Both parties will comply with all applicable HIPAA Privacy and Security Rule requirements regarding the handling of Protected Health Information.

Termination

We may suspend or terminate your access to the Platform at any time for violation of these Terms or as required by law. You may terminate your account at any time by contacting us. Provisions that by their nature should survive termination will survive.

Modifications to Terms

We may modify these Terms from time to time. Material changes will be communicated through the Platform or by email. Continued use after such changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Dispute Resolution

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-law principles. Any dispute arising from or relating to these Terms or the Platform shall be resolved exclusively through binding arbitration in Atlanta, Georgia, under the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action.
